Terms of Service
Effective Date: November 3, 2026
1. Who We Are and Agreement to Terms
Loomis is a product of O2mation LLC, a Wyoming (USA) limited liability company (“O2mation”, “we”, “us”, or “our”). These Terms of Service (“Terms”) are a binding agreement between you and O2mation about your use of the Loomis platform, website and related services (the “Services”).
By creating an account or using the Services, you agree to these Terms, our Privacy Policy, our Acceptable Use Policy and, where it applies, our Data Processing Addendum. If you use the Services for a business or other organization, you confirm that you may accept these Terms on its behalf, and “you” includes that organization.
2. What Loomis Does
Loomis lets you build AI chatbots and connect them to messaging channels such as Facebook Messenger, Instagram Direct, Telegram and our Web Chat Widget. Bots can answer messages, use the knowledge documents you upload, collect leads, automate replies to comments, and hand conversations to a human. Replies are generated by third-party AI model providers (currently Google Gemini). We may change AI providers or models to keep the Services working well and affordable; our Privacy Policy lists the providers we use.
3. Who Can Use Loomis
- You must be at least 13 years old.
- If you are under 18 (or the age of majority where you live), you may use Loomis only with the permission and supervision of a parent or legal guardian. Your parent or guardian must agree to these Terms and is responsible for your use and for any payments.
- You must also meet the minimum age and other rules of each platform you connect (for example, Meta and Telegram).
- Loomis is not made for children, and you may not build bots aimed at children (see the Acceptable Use Policy).
- You may not use Loomis if you are located in, or are a resident of, a country under comprehensive US sanctions, or if you are on a US government restricted-party list.
4. Your Account
Give us accurate information and keep it up to date. Keep your password safe. You are responsible for everything that happens under your account, including actions by staff you invite. Tell us right away at legal@loomis.bot if you think your account has been misused.
5. Plans, Free Trial and Credits
- Free trial: a new account receives a one-time trial of AI message credits after its email address is verified. Each email address and each organization can receive the trial only once.
- Paid plans: plan features, limits and prices are shown on our pricing page and in your Billing page at the time you buy.
- Monthly allowance: paid plans include a monthly allowance of AI messages. It resets on the 1st day of each calendar month (UTC), whatever day you subscribed. Unused monthly allowance does not roll over.
- Top-up credits: credit packs you buy do not expire and stay on your account if you cancel your subscription. They are usable only while your account exists.
- Automatic credit returns: if an AI reply fails to generate or deliver, or a conversation is handed to a human, the credit for that message is returned automatically.
- Credits have no cash value, cannot be transferred or sold, and are refunded only as described in Section 7.
6. Billing and Automatic Renewal
- Paid subscriptions renew automatically every month at the price shown when you subscribed, and your payment method is charged at the start of each billing period until you cancel.
- How to cancel: open the Billing page in your dashboard and choose to manage or cancel your subscription. Cancellation takes effect at the end of the current billing period, and you keep paid features until then.
- Payments are processed by our payment provider (currently Stripe). We do not see or store your full card number.
- Prices do not include taxes unless stated. Taxes such as VAT, GST or sales tax may be added where required.
- If we change the price of your plan, we will tell you by email at least 30 days before the change applies to you. You can cancel before then.
- If a payment fails, we may limit or downgrade your account until it is paid.
7. Refunds and Cancellation Rights
General rule: except as described below or required by law, payments are non-refundable, and we do not give refunds or credits for partial billing periods or unused monthly allowance.
Consumers in the EU, EEA and UK (14-day right): if you are a consumer (not buying for a business), you have the right to cancel a new subscription or credit purchase within 14 days of buying it, without giving a reason. When you buy, you ask us to start the Services right away. If you then cancel within the 14 days, we will refund what you paid, minus an amount for the Services you used before you told us you were cancelling (in proportion to the billing period, or to the credits used). To cancel, email legal@loomis.bot with a clear statement that you are cancelling, from the email address on your account. We will refund within 14 days of receiving your request, using the payment method you used.
Other local laws: if the law where you live gives you other refund or cancellation rights that cannot be waived, those rights still apply.
Our mistakes: if you were charged in error, or the Services were not available for a long period because of us, email us and we will make it right.
Please contact us before disputing a charge with your bank. Most problems can be solved quickly by email.
8. Your Content and Your End-Users
- You own your content: bot settings, knowledge documents, and the conversations and leads on your channels. You give us permission to host, copy, process and send your content only as needed to provide, secure and improve the Services and as described in our Privacy Policy.
- You confirm you have the rights and permissions needed for the content you upload and for the channels you connect.
- For the people who talk to your bots (“End-Users”), you decide what your bot does and why. You are responsible for telling them that they are talking to an AI, for having a privacy notice that covers your use of Loomis, and for following the laws that apply to you. For personal data of End-Users, we act on your behalf under our Data Processing Addendum.
9. AI-Generated Content Disclaimer
AI replies are generated automatically and may be wrong, incomplete or inappropriate. They are not legal, medical, financial or other professional advice. You are responsible for your knowledge base, your bot’s instructions, and checking how your bot answers. Do not rely on AI output for decisions that need a qualified professional.
10. Message Processing and Truncation
To keep the Services fast and affordable, very long messages may be shortened before they are processed by the AI. Limits depend on your plan.
11. Third-Party Platforms
The Services depend on third parties such as Meta, Telegram, our AI providers and our payment provider. You must follow their terms and policies. We do not control them and are not responsible if they change, limit or remove features or access (for example, if Meta restricts a page or changes its API). We will make reasonable efforts to adapt.
12. Acceptable Use
You must follow our Acceptable Use Policy. In short: no spam, no illegal activity, no impersonation, no malware, no bots aimed at children, and no breaking the rules of the platforms you connect.
13. Our Intellectual Property and Feedback
We own the Loomis platform, including its software, design and brand. These Terms give you a limited, non-exclusive, non-transferable right to use the Services while your account is active. You may not copy, resell, reverse engineer or build a competing product from the Services. If you send us ideas or feedback, we may use them without any obligation to you.
14. Availability and Changes to the Services
We work to keep Loomis available, but we do not guarantee it will be uninterrupted or error-free, unless we agree to a service level in a separate written agreement. We may add, change or remove features. If we stop offering the Services entirely, we will give reasonable notice and refund any prepaid fees for the period after the Services end.
15. Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. Nothing in these Terms limits rights you have under consumer law that cannot be limited.
16. Limitation of Liability
To the maximum extent permitted by law: (a) we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill; and (b) our total liability for all claims relating to the Services is limited to the amount you paid us in the 3 months before the event giving rise to the claim, or US$50 if that is greater. These limits do not apply to liability that cannot be limited by law, such as liability for fraud or, where the law requires, for death or personal injury caused by negligence.
17. Indemnification
To the extent permitted by law, you agree to defend and compensate us for claims, losses and costs (including reasonable legal fees) that arise from your content, your bots, your use of the Services, or your breach of these Terms or of the law. This section does not apply to consumers where local law does not allow it.
18. Suspension and Termination
- You can stop using Loomis at any time. To close your account and delete your data, email legal@loomis.bot from the email address on your account.
- We may suspend or close your account if you break these Terms or the Acceptable Use Policy, do not pay, create a legal or security risk, or if a connected platform requires it. Where reasonable, we will warn you first and give you a chance to fix the problem.
- After your account closes, we delete or return your data as described in our Privacy Policy and Data Processing Addendum.
- Sections that by their nature should continue (such as payment owed, disclaimers, limitation of liability and disputes) survive termination.
19. Disputes and Governing Law
- Talk to us first: before starting any legal claim, email legal@loomis.bot describing the problem and what you want. We both agree to try in good faith to solve it within 30 days.
- Governing law: these Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-law rules.
- Courts: if a dispute is not solved, it will be decided only by the state or federal courts located in Wyoming, and both of us agree to those courts. Either of us may instead bring an individual claim in a small claims court where it qualifies.
- Individual claims: to the extent permitted by law, claims may be brought only individually and not as part of a class or representative action.
- Consumers: if you are a consumer, you keep any protection given by the mandatory laws of the country where you live, including any right to bring a claim in your local courts.
20. Changes to These Terms
We may update these Terms. For important changes, we will tell you by email or in the dashboard at least 15 days before they apply, unless the change is required by law sooner. If you keep using the Services after the change applies, you accept the new Terms. If you do not agree, you can cancel before then.
21. General
These Terms, together with the policies linked above, are the whole agreement between you and us about the Services. If any part is found unenforceable, the rest stays in effect. If we do not enforce a right, we do not give it up. You may not transfer these Terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets. Neither of us is responsible for delays caused by events beyond reasonable control. If these Terms are translated, the English version controls to the extent permitted by law.
